All cybersecurity testing or security assessments must be properly authorised.

PaxAlpha will only conduct activities within the scope agreed with the relevant client.

Where a client authorises security testing, the client is responsible for ensuring that it has the necessary rights and authority to permit the testing.

6. Responsible Use of Cybersecurity Knowledge

PaxAlpha may provide cybersecurity education, training, tools, demonstrations, laboratories, and technical information.

Such information is provided for lawful and authorised security, educational, research, defensive, and professional purposes.

Users must not use PaxAlpha’s training, software, tools, or information to conduct unauthorised attacks, compromise systems without permission, steal information, deploy malware, commit fraud, or otherwise engage in unlawful activities.

Unless otherwise agreed:

  • Failure to make required payments may result in suspension or termination of services.

  • Work outside an agreed scope may incur additional charges.

  • Payments made for completed services may be non-refundable except where otherwise agreed or required by applicable law.

Specific refund or cancellation terms may apply to individual products, services, or training programmes.

  • Methodologies

  • Documentation

  • Training materials

  • Designs

  • Tools

  • Processes

  • Know-how

  • Branding and trademarks

Where a client commissions custom software or other intellectual property, ownership and licensing arrangements will be determined by the applicable agreement or statement of work.

Payment for a service does not automatically transfer ownership of PaxAlpha’s pre-existing intellectual property.

10. Client Materials and Data

Clients retain ownership of information, materials, data, trademarks, content, and other intellectual property they provide to PaxAlpha.

Clients grant PaxAlpha the limited rights reasonably necessary to use such materials for the purpose of providing the agreed services.

PaxAlpha will handle personal information in accordance with its Privacy Policy and applicable data protection requirements.

Where appropriate, the parties may enter into a separate Data Processing Agreement or confidentiality agreement.

11. Confidentiality

Each party may receive confidential information belonging to the other party in connection with a business relationship.

Each party agrees to take reasonable steps to protect confidential information and not disclose it to unauthorised persons except where:

  • Disclosure is authorised by the relevant party

  • Disclosure is required by law

  • Disclosure is necessary to professional advisers or service providers subject to appropriate confidentiality obligations

  • The information has lawfully become publicly available

Additional confidentiality obligations may be established through a separate Non-Disclosure Agreement or service agreement.

12. Third-Party Services

PaxAlpha may use or integrate third-party services, software, APIs, cloud infrastructure, payment platforms, communication services, or other technologies.

Third-party services may be subject to their own terms and privacy policies.

PaxAlpha is not responsible for the independent operation, availability, security, or policies of third-party services outside our reasonable control.

13. Availability and Service Interruptions

We aim to provide reliable and secure services; however, we do not guarantee that our website, software platforms, or services will always be available, uninterrupted, or error-free.

Services may occasionally be unavailable due to:

  • Scheduled maintenance

  • Security updates

  • System upgrades

  • Technical failures

  • Internet or telecommunications failures

  • Third-party service interruptions

  • Cybersecurity incidents

  • Events outside our reasonable control

Where reasonably possible, PaxAlpha will take appropriate steps to restore affected services.

14. Warranties and Disclaimers

PaxAlpha will use reasonable skill and care in providing its services.

However, unless expressly stated in a written agreement, our website and services are provided on an “as available” basis.

We do not guarantee that:

  • The website or software will always be available

  • All software will be completely free from defects

  • All cybersecurity threats can be identified or prevented

  • Security incidents will never occur

  • A particular business, financial, employment, security, or other outcome will be achieved

Cybersecurity services reduce identified risks but cannot eliminate every possible security threat.

15. Limitation of Liability

To the extent permitted by applicable law, PaxAlpha will not be liable for indirect, incidental, special, consequential, or punitive losses arising from the use of our website or services.

This may include loss of:

  • Profits

  • Revenue

  • Business opportunities

  • Data

  • Goodwill

  • Anticipated savings

Nothing in these Terms is intended to exclude or limit liability where such exclusion or limitation is prohibited by applicable law.

Where a separate written agreement contains specific liability provisions, those provisions may apply to the relevant service.

16. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold PaxAlpha Limited, its officers, employees, contractors, and representatives harmless from claims, losses, liabilities, damages, and reasonable expenses arising from:

  • Your unlawful use of our services

  • Your violation of these Terms

  • Your unauthorised use of systems or information

  • Your infringement of another person’s intellectual property or rights

  • Information or materials supplied by you that you did not have the right to provide

This provision does not apply to losses caused by PaxAlpha’s own unlawful conduct or obligations that cannot legally be transferred.

17. Account Security

Where our services require you to create an account, you are responsible for maintaining the confidentiality of your login credentials.

You should:

  • Use strong passwords

  • Avoid sharing account credentials

  • Keep authentication information secure

  • Notify us promptly if you suspect unauthorised access

  • Follow applicable security instructions provided by PaxAlpha

You are responsible for activity occurring through your account to the extent permitted by applicable law.

18. Suspension and Termination

PaxAlpha may suspend or terminate access to a service where reasonably necessary, including where:

  • You materially breach these Terms

  • Required payments are not made

  • There is suspected fraud or abuse

  • There is a significant security risk

  • Continued access could harm PaxAlpha, its users, or third parties

  • Suspension or termination is required by law

Where reasonably practicable, we may provide notice before terminating services.

Termination does not automatically remove obligations that are intended to survive termination, including confidentiality, intellectual property, payment obligations, and applicable liability provisions.

19. Privacy

Our collection and use of personal information is governed by our Privacy Policy, which forms an important part of our relationship with users of our website and services.

By using our website or services, you acknowledge that you have reviewed our Privacy Policy.

20. Changes to These Terms

PaxAlpha may update these Terms from time to time to reflect changes in our services, technology, business practices, or legal requirements.

When we make significant changes, we may update the effective date and, where appropriate, provide additional notice.

Your continued use of our website or services after updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by applicable law.

21. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws applicable in the Federal Republic of Nigeria, unless a separate written agreement between PaxAlpha and a client provides otherwise.

Where a dispute arises, the parties will make reasonable efforts to resolve the matter amicably before pursuing formal legal proceedings.

Nothing in this section prevents a party from seeking urgent legal or injunctive relief where appropriate.

22. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

23. Entire Agreement

These Terms, together with any applicable service agreements, proposals, statements of work, invoices, training terms, Privacy Policy, and other written agreements between the parties, constitute the applicable agreement governing the relevant service.

Where there is a conflict between these Terms and a specific written agreement, the specific agreement may take precedence for that particular service.
